TERMS OF SERVICE, LIMITATION OF LIABILITY, AND HOLD HARMLESS AGREEMENT

MY SOFT LANDING – PREMIUM RELOCATION PARTNERS

PLEASE READ THIS AGREEMENT CAREFULLY. BY SCHEDULING A CONSULTATION, USING OUR PLATFORM, OR ENGAGING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE, YOU MUST NOT USE OUR SERVICES.

1. DEFINITIONS AND NATURE OF THE RELATIONSHIP

1.1. "My Soft Landing" (hereinafter "MSL", "We", "Us", or "The Company"): A consulting, project management, and buyer’s representation firm. MSL acts strictly as a centralized orchestration platform and an intermediary consultant. MSL is NOT a law firm, NOT a real estate brokerage, NOT a developer, NOT an escrow company, and NOT a government entity. 1.2. "The Client" (hereinafter "You"): The individual or entity contracting MSL for relocation guidance and orchestration services. 1.3. "Independent Third-Party Providers" (hereinafter "Third Parties"): External professionals, including but not limited to local Mexican real estate brokers, immigration attorneys, public notaries (Notarios Públicos), escrow agents, international moving companies, and insurance brokers, who execute the physical and legal services locally. 1.4. "Asset-Light Model": MSL operates as a central project manager. We connect You with vetted Third Parties. MSL coordinates the communication and timeline but does not execute the underlying legal, financial, or real estate services directly.

2. THE INITIAL DIAGNOSTIC SESSION ($45 USD) AND REFUND POLICY

2.1. Scope of the Initial Consultation: The $45 USD fee covers a 45-minute "Relocation Blueprint Session" (comprising a 30-minute masterclass and a 15-minute Q&A) and the delivery of a customized "Soft Landing Brochure". 2.2. Service Consummation: The service is deemed 100% fulfilled and consummated upon the delivery of the "Soft Landing Brochure" to the Client’s registered email address. 2.3. No-Show and Cancellation Policy: Cancellations made with less than 24 hours' notice, or failure to attend the scheduled video call (No-Show), will result in the forfeiture of the $45 USD fee. No refunds will be issued under any circumstances. This policy strictly protects MSL against credit card chargebacks. 2.4. The "Risk Reversal" Credit: Should You choose to hire MSL for the comprehensive relocation management service after the initial consultation, the $45 USD fee will be credited 100% toward your final management quote. This credit has no cash value and cannot be transferred.

3. THIRD-PARTY EXECUTION, COMMISSIONS, AND HOLD HARMLESS AGREEMENT

3.1. Independent Contractor Status: All local services in Mexico (Mérida, San Miguel de Allende, Tulum, Playa del Carmen, Cancun, and Valladolid) are executed by Independent Third-Party Providers. MSL does not employ these professionals. You will be required to sign independent service agreements directly with the attorneys, real estate brokers, or escrow companies executing your transactions. 3.2. Disclosure of B2B Commissions (Referral Fees): MSL provides project management services to You and operates a Business-to-Business (B2B) referral network. You acknowledge and agree that MSL receives referral fees, commissions, and/or compensation from the Independent Third-Party Providers (including real estate developers, brokers, escrow agents, and lawyers) for successfully connecting them with You. These B2B commissions do not increase the standard market price of the properties or services offered to You. 3.3. Hold Harmless and Release of Liability: MSL audits and vets its network of Third Parties; however, MSL cannot guarantee their performance. You explicitly agree to hold MSL, its directors, employees, and agents entirely harmless and release Us from any and all civil, criminal, or commercial liability, damages, losses, or legal disputes arising directly or indirectly from the actions, omissions, negligence, fraud, hidden property defects, or breach of contract committed by any Independent Third-Party Provider.

4. REAL ESTATE AND BUYER'S REPRESENTATION DISCLAIMER

4.1. Fiduciary Representation: In accordance with the Mexican Official Standard NOM-247-SE-2021 regarding real estate commercial practices, MSL acts exclusively as a Buyer's Representative (Buyer's Brokerage), protecting your interests against local market asymmetries. 4.2. No Financial Guarantees: MSL does not guarantee specific Returns on Investment (ROI), capital gains (plusvalías), rental yields, or the future market value of any property. 4.3. Due Diligence: While MSL orchestrates the process, the actual legal audit of the property (title search, verification of non-ejidal status, freedom from liens) is executed exclusively by certified local attorneys and Public Notaries. MSL is not liable for errors or omissions in the legal title of the property.

5. ESCROW AND ANTI-MONEY LAUNDERING (AML) COMPLIANCE

5.1. Strict Separation of Capital (LFPIORPI Compliance): Mexico enforces strict anti-money laundering laws (Ley Federal para la Prevención e Identificación de Operaciones con Recursos de Procedencia Ilícita - LFPIORPI). To ensure total compliance, MSL DOES NOT receive, hold, clear, or transfer funds intended for real estate purchases, long-term leases, or heavy government fees in our corporate bank accounts. 5.2. Mandatory Use of Third-Party Escrow: All heavy capital transactions for real estate must flow directly from the Client’s foreign bank account to certified, independent, and regulated third-party Escrow accounts (e.g., Title Solutions). MSL will instruct the Escrow company regarding the disbursement schedule, but MSL exercises no direct control over the custody of your funds. The AML reporting burden falls entirely on the Escrow company and the Mexican Notary.

6. IMMIGRATION SERVICES DISCLAIMER

6.1. Discretion of Authorities: The issuance, renewal, or denial of Temporary or Permanent Residency visas is strictly at the discretion of the Mexican Consulates abroad and the National Immigration Institute (Instituto Nacional de Migración - INM) within Mexico. 6.2. No Guarantee of Approval: MSL and our partner immigration attorneys ensure that your file is prepared accurately based on the current financial solvency requirements (measured in UMAs). However, MSL cannot and does not guarantee the approval of any visa. We are not liable for travel expenses, delays, or losses incurred due to a consular denial, unexpected changes in Mexican immigration law, or discretionary actions by border agents.

7. CROSS-BORDER DATA PRIVACY AND CONSENT TO TRANSFER

7.1. Regulatory Compliance: MSL handles highly sensitive personal and financial data. We utilize Zero-Knowledge Encryption cloud infrastructure to comply with Mexico's LFPDPPP, the California Consumer Privacy Act (CCPA), and Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA). 7.2. Explicit Consent for Data Transfer: By accepting these Terms, You grant MSL explicit consent to securely share your required personal data, financial statements, passports, and medical history with our Independent Third-Party Providers (brokers, attorneys, notaries, escrow agents) in your destination city, strictly for the execution of your relocation and legal procedures. 7.3. Right to be Forgotten: You retain the right to request the permanent deletion of your sensitive data from our servers at any time, provided it does not conflict with active legal proceedings or mandatory data retention laws in Mexico.

8. GOVERNING LAW AND JURISDICTION

These Terms of Service shall be governed by and construed in accordance with the laws of the United Mexican States. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach thereof, shall be submitted to the exclusive jurisdiction of the competent courts in the city of Mérida, Yucatán, Mexico. You explicitly waive any other jurisdiction that may correspond to You by reason of your present or future domicile.

9. COMPREHENSIVE CONTINGENCY, EDGE CASES, AND FORCE MAJEURE POLICY

To ensure absolute transparency and define the limits of MSL’s liability throughout all relocation phases, the following contingencies and Force Majeure events are strictly excluded from our liability and refund policies:

9.1. Information Accuracy & Fraud: If MSL or our Third-Party Providers discover that You have provided false, forged, or altered documentation (including financial statements or identification), or concealed criminal records, MSL reserves the right to immediately terminate all services without any refund. MSL is not liable if a local provider refuses to render services due to your failure to pass international background checks. 9.2. Consular, INM & Geopolitical Force Majeure: MSL is not liable for delays or financial losses caused by the sudden closure of Mexican Consulates, diplomatic strikes, or visa appointment suspensions. If the INM or a Consul denies your visa under Article 43 of the Migration Law (due to national security, interpol alerts, or discretionary criteria), MSL is entirely exempt from liability, and no fees will be refunded. 9.3. Real Estate Catastrophes & Escrow: If You choose to purchase a pre-construction property and the developer goes bankrupt, commits fraud, or fails to deliver the property, MSL is held completely harmless. Your sole legal recourse is against the developer via your independent Escrow agreement. MSL is also not liable for property damage or loss of deposits due to natural disasters (hurricanes, earthquakes, etc.) prior to your arrival. 9.4. Customs Seizures (Aduana) & Pet Quarantines: If your household goods container is delayed, fined, or seized by Mexican Customs because You included prohibited items, You bear 100% of the financial and legal responsibility. MSL will not pay daily storage fees (demurrage) caused by your negligence. Similarly, if your pet is denied entry or placed in quarantine by health authorities due to invalid vaccination records or sudden disease outbreaks, MSL assumes no liability. 9.5. The "FMM Canje" Fatal Error: As clearly instructed, upon entering Mexico, You must demand that the border agent stamps your Multiple Migratory Form (FMM) as "Canje" (Resident Exchange). If you fail to do so, or allow the agent to stamp you as a "Tourist," your consular visa will be instantly voided by the Mexican Government. MSL is not liable for this error. 9.6. Scouting Trips and Tourist Visa Limitations: For clients executing a "Scouting Trip" under a Tourist Visa/FMM, MSL is not liable for the number of days granted by the border agent, as this is strictly discretionary (ranging from 7 to 180 days). Furthermore, the Client acknowledges that it is legally impossible to change from a tourist status to a resident status while inside Mexico. Any required exit and re-entry flights to process a residency visa at a consulate abroad are at the Client's sole expense. 9.7. Strict 30-Day Canje Deadline and TIP Restrictions: Upon entering Mexico with an approved consular residency visa stamped as "Canje," the Client assumes absolute responsibility to physically present themselves at the local INM office within a strict 30-calendar-day window to obtain their residency card. Failure to do so will permanently void the visa. Additionally, Clients obtaining Permanent Residency acknowledge they are legally prohibited from obtaining a Temporary Import Permit (TIP) for foreign-plated vehicles. MSL assumes no liability for vehicle confiscations or visa expirations caused by the Client's failure to adhere to these timelines and restrictions. 9.8. General Force Majeure: Under no circumstances shall MSL be held liable for failure or delay in the performance of its obligations under this Agreement if such performance is hindered, delayed, or prevented by causes beyond its reasonable control (e.g., Acts of God, global pandemics, border closures, cyber-attacks, or the abrupt termination of international treaties).

10. EXPAT AMBASSADOR AFFILIATE PROGRAM

10.1. Independent Contractor Status: Clients who opt-in to the "Expat Ambassador Program" act strictly as independent referral affiliates. This relationship does not constitute a partnership, joint venture, agency, or employment relationship between the Ambassador and MSL under the labor laws of Mexico, the United States, or Canada. 10.2. Scope of Authority and Misrepresentation: Ambassadors are strictly prohibited from making legal, financial, real estate, or immigration promises, guarantees, or representations on behalf of MSL. The Ambassador’s sole authorized activity is to share their personal relocation experience and provide their unique affiliate tracking link for the Diagnostic Call. MSL reserves the right to immediately terminate the affiliate relationship and withhold unpaid commissions if an Ambassador misrepresents MSL’s services or violates this agreement. 10.3. Commission Structure and Payouts: Ambassadors will earn a 10% commission exclusively for every new, unique client who completes the booking and successfully pays the non-refundable Diagnostic Call fee using the Ambassador's specific tracking link. Commissions are strictly tied to this front-end service and do not apply to downstream real estate, escrow, or legal management fees.

This Agreement shall begin on the date hereof.

Comments do not reflect the views and opinions of My Soft Landing, its agents, and/or affiliates. Comments reflect the views and opinions of the person who posts their views and opinions.
